Agreement Overview

This Agreement is a legal document that establishes the terms between you ("the user") and CO-OP SHOPPER LLC, a Utah Limited Liability Company ("we", "us", "our"). The website www.co-opshopper.com, referred to herein as 'the Site', is a division of CO-OP SHOPPER LLC. By accessing and using the Site, you agree to be bound by the terms of this Agreement.
Services Offered

CO-OP SHOPPER LLC provides various transactional, informational, delivery, and communication services through the Site. The Site functions as an online platform where Costco products are displayed, and users can purchase service plans offered by CO-OP SHOPPER LLC. We reserve the right to introduce new service plans and related services in the future. All payments for these services are due at the time of plan activation.
Co-Op Shopper LLC does not sell or ship items listed on our website. To avoid unnecessary fees, please disable the payment processor by selecting "Offline Payment" at checkout.

Section A - Third-Party Services
Our service allows you to engage with third-party businesses that we do not operate or control. Any transactions made with these third parties are solely between you and the third party. CO-OP SHOPPER LLC disclaims all responsibility for the accuracy, completeness, and usefulness of any information provided by these third parties. We do not guarantee the quality or availability of products or services from these businesses and will not be liable for any charges or obligations incurred through such dealings.

Section B - Intellectual Property and Use Restrictions
The Site and all its contents including design, text, graphics, and software are owned by CO-OP SHOPPER LLC or its content providers. The materials from the Site are available for personal and non-commercial use only unless otherwise explicitly authorized by us through written permission. Unauthorized use, including reproduction, modification, distribution, or publication for commercial or public purposes, is strictly prohibited without prior written consent from CO-OP SHOPPER LLC.

Section C - Account and Service Termination
We reserve the right to suspend or terminate your account or any services listed on the Site at our discretion, with or without notice. You may cancel your service plan at any time by notifying CO-OP SHOPPER LLC; however, you will not be eligible for a refund of any fees already paid. You remain responsible for any charges incurred before your account cancellation.

Section D - Changes to Services and Fees
CO-OP SHOPPER LLC may modify the terms of this Agreement or the fee structure for services at any time. Notice of significant changes will be posted on the Site. Continued use of the Site following such changes will constitute your acceptance of the new terms. We may also revise or discontinue any service plan without prior notice to you. If you do not agree with any changes, you may terminate your services with us.
Section E - Policy Updates
We may update this policy periodically. All amendments will take effect immediately upon their posting on the Site. We will notify you of any significant changes to our policy. It is advisable to review this page frequently to stay informed of how we are protecting your information.

Services Provided by Co-Op Shopper LLC.
Co-Op Shopper LLC. provides an online platform for Business Owners and Clients to facilitate services such as grocery shopping, delivery, and related services. These Terms govern your use of the platform and the Services.

For Business Owners: You can use the platform to offer services to Clients, including shopping, delivery, and any related services.
Business Owners and Clients
Co-Op Shopper LLC. is not responsible for the actual services provided between Business Owners and Clients. All transactions that occur are directly between Clients and Business Owners. Co-Op Shopper LLC. is a facilitator, not a party to the agreements made between Clients and Business Owners.
Your Responsibilities
You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not use the platform for unauthorized transactions, including unlawful commercial activities or infringement of intellectual property rights.

License to Use Services
Co-Op Shopper LLC. grants you a non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. This license does not grant you the right to modify, reproduce, or distribute any part of the Services, except as expressly permitted.

Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to the data collection practices described in the Privacy Policy.
Third-Party Services

Co-Op Shopper LLC. owns the intellectual property rights in the platform and Services. You agree not to infringe on our rights or use our intellectual property without permission.
Payments and Fees
Clients are responsible for paying for services provided by Business Owners, including any applicable delivery or service fees. Business Owners are responsible for ensuring their services comply with these Terms and applicable laws.

Payment Methods: You may be required to provide credit card or other payment information to use certain services. You must ensure that your payment information is current and accurate.

Refunds and Chargebacks: Business Owners must adhere to refund policies for services rendered. If there are Chargebacks or disputes, you may be liable for any associated fees, and Co-Op Shopper LLC. reserves the right to debit your account for those amounts.
Termination of Account
You can terminate your account at any time by contacting us at art@co-opshopper.com. We reserve the right to suspend or terminate your access to the Services if you violate these Terms or engage in illegal activity.
Dispute Resolution
Any disputes arising from or relating to these Terms or your use of the Services will be governed by the laws of the State of California. Disputes will be settled through arbitration, and you agree to waive the right to trial by jury or participate in class actions.
Limitation of Liability
To the fullest extent permitted by law, Co-Op Shopper LLC. will not be liable for any indirect, special, incidental, or consequential damages. Our total liability to you, whether in contract, tort, or otherwise, will be limited to the greater of $100 or the total amount you have paid to Co-Op Shopper LLC. in the last 12 months.
Indemnification
You agree to indemnify and hold Co-Op Shopper LLC., its affiliates, officers, and employees harmless from any claims, liabilities, or damages arising from your use of the Services or violation of these Terms.
Governing Law
These Terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of San Francisco County, California.
Miscellaneous
If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable. These Terms represent the entire agreement between you and Co-Op Shopper LLC.
Payment Terms
Payment for the consultation must be made in full prior to the scheduled consultation.
Payments can be made via the payment methods specified during the booking process.
Consultation Rescheduling and Cancellation
Clients may reschedule their consultation up to 24 hours before the scheduled time without penalty.
Cancellations made at least 24 hours in advance are eligible for a full refund.
Cancellations made less than 24 hours before the scheduled time will not be eligible for a refund.
Refund Policy
If the client chooses not to proceed with the website setup after the consultation, they may be eligible for a partial refund.
The refundable amount will be the greater of 50% of the original consultation fee or $35. This amount is retained to cover the time and resources spent on preparation and the consultation itself.
Refunds will not be issued if the client fails to attend the scheduled consultation without prior notice (no-show).
Service Limitations
The consultation fee covers the time spent on preparation and the initial consultation session. It does not include any further work or services related to setting up or managing the website.
Any additional services beyond the initial consultation may incur additional fees.
Refund Processing
Refunds will be processed within 14 business days from the date the request is approved.
Refunds will be issued using the original payment method, unless otherwise agreed upon.
No Guarantee of Results
The consultation is intended to provide guidance and recommendations for setting up your website. However, no specific outcomes or results are guaranteed.
Changes to the Policy
This policy may be updated or modified at any time without prior notice. It is the client’s responsibility to review the terms prior to booking a consultation.

Refund Policy for Website Setup Consultations
Website Hosting Plan Policy
Service Agreement
By purchasing a website hosting plan for your Co-Op Shopper online store, you agree to the terms and conditions outlined in this policy. The hosting plan covers the maintenance, support, and hosting of your online store on our platform.
Plan Inclusion
The hosting plan includes:

Secure web hosting and domain management.

Regular updates to ensure site functionality and security.

Basic technical support for troubleshooting and minor updates.

Routine backups for data security.
Plan Duration and Renewal
The hosting plan is billed either monthly or annually, with automatic renewal at the end of each term. A reminder will be sent before renewal, allowing you to cancel or update your plan if needed.

Payment and Refunds
Payments are required in advance to activate the hosting plan. Refunds are not provided once the hosting plan is activated, except in the case of technical issues directly caused by the hosting service that cannot be resolved within 30 days.
Termination and Suspension
We reserve the right to suspend or terminate the hosting plan if payments are not made on time, or if there are violations of our acceptable use policies, including illegal or prohibited content.
Site Ownership
While the hosting plan covers the maintenance of the online store, the website content, such as text, images, and logos, remain the property of the Co-Op Shopper LLC.
Support Limitations
Technical support covers only hosting-related issues. Custom design changes, content updates, or additional development will incur additional fees.
Plan Upgrades
You may choose to upgrade your hosting plan to include additional features, such as premium support or increased storage, at any time. Changes will be prorated based on the remaining term.

Service Level Agreement (SLA)
We guarantee 99.9% uptime for the hosting service. In the event of a prolonged outage, we will credit your account for the downtime exceeding this limit.

Changes to the Policy
We reserve the right to update this policy at any time. Customers will be notified of significant changes that affect the terms of the hosting plan.

By purchasing the hosting plan, you acknowledge and agree to these terms.
What type of information does our website collect?
We receive, collect, and store any information you enter on our website or provide us in any other way. In addition, we collect the Internet protocol (IP) address used to connect your computer to the Internet; login; e-mail address; password; computer and connection information, and purchase history.
We may use software tools to measure and collect session information, including page response times, length of visits to certain pages, page interaction information, and methods used to browse away from the page. We also collect personally identifiable information (including name, email, password, and communications); payment details (including credit card information), comments, feedback, product reviews, recommendations, and personal profile.

All direct payment gateways offered by Wix.com and used by our company adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express, and Discover. PCI-DSS requirements help ensure our store and its service providers' secure handling of credit card information.

We may contact you to notify you regarding your account, to troubleshoot problems with your account, to resolve a dispute, to collect fees or monies owed, to poll your opinions through surveys or questionnaires, to send updates about our company, or as otherwise necessary to contact you to enforce our User Agreement, applicable national laws, and any agreement we may have with you. Art Duy
Guest Groceries Licensing Agreement
Co-Op Shopper LLC, a Utah limited liability company, doing business as Guest Groceries ("Licensor"), and the ("Licensee"), collectively referred to as the "Parties."
Effective Date: July 1, 2025
Purpose
Licensor grants Licensee a limited, non-exclusive, non-transferable license to use its proprietary grocery store templates, branded assets, and curated product database (the “Licensed Materials”) for the purpose of setting up and managing client-facing online grocery platforms using Wix or other approved platforms.
Scope of License
a. Licensed Use: Licensee is authorized to use the Licensed Materials solely to develop, operate, and manage client websites that are part of the Guest Groceries program.
b. Prohibited Use: Licensee may not resell, sublicense, reproduce, or distribute the Licensed Materials outside the scope of this agreement.
c. Territorial Restrictions: All use is limited to approved regions and client types unless otherwise authorized in writing by Licensor.
d. Database Access: Licensee does not receive direct backend access to the product database. Custom item uploads may be submitted via CSV for approval and implementation by Licensor.
Licensee Responsibilities
a. Client Management: Licensee will act as the primary point of contact for their clients, including setup, design customization, and optional marketing services.
b. Technical Proficiency: Licensee must possess the necessary skills (or have staff who do) to build and manage Wix-based websites.
c. Compliance: Licensee must ensure that all client websites adhere to Guest Groceries branding standards, pricing rules, and policies.
d. Reporting: Licensee agrees to keep accurate records of client activity and participate in periodic check-ins as requested.
Compensation
Licensee will receive a recurring commission based on the gross monthly commission received by Licensor from clients referred and managed by Licensee. Commission percentages are outlined in the current Licensee Program Terms and may be updated with 30 days’ notice.
Fees
All website hosting, third-party tools, and service add-ons are the financial responsibility of the Licensee or their client, unless otherwise agreed upon in writing. Use of Wix or other platforms must remain in good standing.
Intellectual Property
All Licensed Materials, including but not limited to website templates, logos, copy, product data, pricing logic, and any proprietary tools, remain the sole property of Licensor. The licensee receives no ownership rights through this agreement.
Term and Termination
a. Term: This agreement begins on the Effective Date and continues until terminated.
b. Termination for Cause: Licensor may terminate this Agreement immediately if Licensee breaches any provision or fails to maintain professional conduct with clients.
c. Termination for Convenience: Either party may terminate this agreement with 30 days’ written notice.
d. Post-Termination: Upon termination, all access to Licensed Materials must cease. The licensee must remove or disable any use of Guest Groceries templates or branding immediately.
Enforcement and Disputes
This Agreement shall be governed by the laws of the State of Utah. Any legal actions or proceedings shall be brought in a court located in Salt Lake County, Utah. Licensor reserves the right to pursue damages, injunctive relief, and attorney fees if this agreement is violated.
Confidentiality
Licensee agrees not to disclose any proprietary or confidential information, including operational procedures, pricing models, or client-related data, to any third party without written consent.
Independent Contractor
Nothing in this Agreement shall be construed to create an employer-employee relationship, joint venture, or partnership. The licensee operates as an independent contractor and is solely responsible for their business operations, taxes, and liabilities.
Qualification
Participation in the Licensee Program is subject to approval by Licensor. Not all applicants will qualify. Licensor reserves the right to deny or revoke Licensee status based on performance, conduct, or inability to meet technical standards.
Entire Agreement
This Agreement, along with any referenced attachments or program terms, represents the full and complete agreement between the parties and supersedes any prior agreements, oral or written.
